Terms of Service

Effective Date: Jan 12, 2026

These Terms of Service (“Terms”) govern your access to and use of the HeyFibi AI meeting assistant platform (“HeyFibi,” “Service,” or “Platform”) provided by RAITECH AI LLC, a Texas limited liability company (“RAITECH,” “Company,” “we,” “us,” or “our”). By creating an account, subscribing to the Service, joining a meeting in which the HeyFibi AI assistant (“Fibi”) is present, or otherwise using the Service, you (“Subscriber,” “Customer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

These Terms incorporate by reference our Privacy Policy (available at heyfibi.com/privacy), Data Processing Addendum (available at heyfibi.com/dpa), Acceptable Use Policy (available at heyfibi.com/acceptable-use), Subprocessor List (available at heyfibi.com/subprocessors), and Pricing Page (available at heyfibi.com/pricing).

1. Service Description

(a) Platform and Invocation. HeyFibi is a subscription-based AI meeting assistant platform that provides Subscribers with access to Fibi, a voice-activated artificial intelligence assistant that participates in online meetings hosted on supported third-party meeting platforms (currently Zoom, Google Meet, and Microsoft Teams). Fibi is invited to meetings by the Subscriber or an authorized user, joins as a visible named participant, and responds when invoked by any meeting participant using a wake word (e.g., “Hey Fibi”). HeyFibi offers multiple specialized “Fibi Agents,” each configured for a particular call or meeting type (for example, sales calls, customer support calls, interviews, or internal meetings). Each Fibi Agent has its own invocation behavior, retrieval scope, and Output types suited to that call type. The Fibi Agents available to Subscriber, and any usage restrictions on individual Fibi Agents, depend on Subscriber’s subscription tier, as described on the Pricing Page.

(b) Fibi Capabilities. When invoked, the relevant Fibi Agent may, depending on its configuration and the applicable call type:

  • Process the meeting participant’s spoken question using third-party speech-to-text technology

  • Retrieve information from Subscriber-connected knowledge sources (such as documents uploaded to HeyFibi or content from connected third-party services like Notion, Google Drive, or OneDrive)

  • Use a large language model to generate a response based on retrieved information

  • Deliver the response as synthesized speech audible to all meeting participants

  • Generate real-time suggestions, meeting outcome summaries, call coaching feedback, or call insights tailored to the applicable call type

  • Generate post-meeting summaries, action items, and a log of questions Fibi answered

All such Outputs — including suggestions, meeting outcomes, call coaching, and call insights — are generated by artificial intelligence and may be incomplete, inaccurate, or wrong. See Section 10 for important information about the limitations of AI-generated Outputs and required human oversight.

(c) Configuration and Hosting. Fibi operates within pre-configured workflows and capabilities. Subscriber may configure which knowledge sources Fibi can access and may invite or disinvite Fibi from individual meetings, but may not directly modify, retrain, or access the underlying AI models, prompts, or workflows that power Fibi.

HeyFibi is delivered as a hosted subscription service. Fibi is hosted and operated by RAITECH on Third-Party Partner Infrastructure as detailed in our Subprocessor List and Data Processing Addendum. Service availability and functionality are subject to the performance and availability of these third-party providers.

(d) No Guarantee of Meeting Participation. Subscriber acknowledges that Fibi’s ability to join, remain in, and operate during a meeting depends on a complex chain of third-party services, network conditions, meeting platform policies, and other factors outside RAITECH’s reasonable control. RAITECH does not guarantee that Fibi will:

1. Successfully join any particular meeting

2. Remain connected to a meeting for the full duration of that meeting

3. Hear, transcribe, or respond to any particular wake word invocation or question

4. Generate Outputs of any particular quality, accuracy, or completeness

5. Produce post-meeting summaries, action items, or Q&A logs for any particular meeting

Reasons that Fibi may fail to join or may disconnect from a meeting include, without limitation: outages or rate limits at meeting platforms (Zoom, Google Meet, Microsoft Teams) or at RAITECH’s Subprocessors; changes to meeting platform bot policies or APIs; network or audio stream interruptions; meeting host configuration (including waiting rooms, participant approval requirements, and recording restrictions); calendar or invitation issues; and other technical, operational, or platform factors.

Subscriber is responsible for maintaining backup procedures (including manual note-taking, recording where permitted, and direct document access) for any meeting in which information capture is critical. RAITECH is not liable for any loss, damage, or missed opportunity arising from Fibi’s failure to join a meeting, disconnection from a meeting, or failure to produce any particular Output or post-meeting artifact.

2. Eligibility and Authority

(a) Age. You must be at least eighteen (18) years of age to access or use the Service.

(b) Authority. If you use the Service on behalf of an organization, you represent and warrant that (i) you are authorized to accept these Terms on that organization’s behalf, (ii) all references to “you” in these Terms include that organization, and (iii) that organization is bound by these Terms.

(c) Geographic Scope. The Service is offered to Subscribers and is intended for use in the United States. The Service is not currently designed for compliance with the European Union General Data Protection Regulation (GDPR), the United Kingdom Data Protection Act, or other non-U.S. data protection laws. Subscribers and users outside the United States access the Service at their own risk.

3. Subscription Plans and Account Registration

(a) Subscription Plans. HeyFibi is priced on a per-seat basis. Multiple subscription plans are available, varying by seat count, meeting allowances, meeting duration caps, integration limits, available Fibi Agents, and other features, as described on the Pricing Page at heyfibi.com/pricing. The Pricing Page is incorporated into these Terms by reference. The Subscription Fee, per-seat pricing, included meeting allowance, meeting duration cap, integration limits, available Fibi Agents, and any add-ons applicable to your subscription are those displayed on the Pricing Page at the time of your subscription or renewal. There is no overage billing; if Subscriber’s usage reaches the limits of its subscription tier, access to the affected feature or the Service will be restricted as described in Section 7(e). Full feature and usage limitations for each tier are described on the Pricing Page.

(b) Account Registration. To access paid features of the Service, you must register for an account using Google Single Sign-On or another authentication method supported by HeyFibi. As part of registration, you must provide accurate business information, including your name, email address, billing contact, and payment details. By submitting your registration, you represent and warrant that all information provided is true, accurate, and current, and that you are authorized to bind any organization on whose behalf you register.

(c) Free Tier. HeyFibi offers a Free tier of the Service with limited usage and restricted features, as described on the Pricing Page. No payment method is required to create or use a Free tier account.

(d) Paid Plan Trial. New subscriptions to a paid plan include a fourteen (14) day free trial of that plan (the “Trial”). A valid payment method is required to start a Trial. No Subscription Fee is charged during the Trial period. Subscriber may cancel a Trial at any time during the 14-day Trial period, at no charge, through Subscriber’s HeyFibi account. If Subscriber does not cancel before the Trial ends, RAITECH will automatically charge the payment method on file for the applicable Subscription Fee, and the subscription will continue on the selected paid plan. Trial eligibility and terms may vary by plan and are described on the Pricing Page.

(e) Account Security. You are responsible for maintaining the confidentiality of your account credentials and for the security of all activity occurring under your account. You agree to:

1. Use a strong, unique password for any authentication method used to access the Service (including the Google account used for Single Sign-On), and not reuse that password on other websites or services

2. Enable multi-factor authentication on any account used to access the Service where available

3. Not share your account credentials with others, and not allow more than one individual to use a single Seat or user account

4. Promptly update account information when it changes

5. Maintain reasonable security of any device used to access the Service

6. Promptly notify us at security@heyfibi.com if you suspect unauthorized access to your account

If Subscriber’s organization has multiple users accessing the Service, Subscriber is responsible for ensuring that each user complies with these account security obligations. RAITECH is not responsible for any unauthorized access to the Service resulting from Subscriber’s or its users’ failure to maintain account security.

(f) User Roles: Admins and Members. HeyFibi accounts distinguish between two user roles: Admin and Member. Admins may manage the account’s payment method, billing, subscription plan, seats, and role assignments. Members are subject to the usage, feature, and access restrictions configured for their role by an Admin. Current role-based permissions and restrictions are available under Settings > Members within the Service.

4. Meeting Participants and Subscriber Responsibility

(a) Two-Tier User Model. The Service involves two types of users:

  • “Subscriber” means the individual or organization that holds the paid account and has agreed to these Terms.

  • “Meeting Participant” means any individual present in a meeting that Fibi has been invited to, including Subscriber’s employees, contractors, clients, prospects, or other invitees, whether or not they hold an account with HeyFibi.

(b) Subscriber Responsibility for Meetings. The Subscriber is solely responsible for:

1. Determining whether to invite Fibi to a particular meeting

2. Configuring which connected knowledge sources Fibi may access during a particular meeting

3. Ensuring that all Meeting Participants have been informed of Fibi’s presence and have consented to Fibi’s participation, recording, and AI processing as required by applicable law

4. Ensuring that Fibi is not invited to meetings in which prohibited content (as defined in Section 8) would be discussed

5. All Outputs (as defined in Section 10) generated by Fibi during meetings hosted by, attended by, or invited by the Subscriber, regardless of which Meeting Participant invoked Fibi or asked the question that produced the Output

(c) Authority of Meeting Participants. By inviting Fibi to a meeting, the Subscriber authorizes any Meeting Participant in that meeting to invoke Fibi using the wake word and to ask questions of Fibi during that meeting. The Subscriber acknowledges that Meeting Participants who are not Subscribers may interact with Fibi, that their voice audio (including the wake word and spoken question) will be processed by HeyFibi and its Subprocessors, and that Fibi’s spoken responses will be audible to all Meeting Participants. The Subscriber is responsible for obtaining any required consent from Meeting Participants before Fibi joins the meeting.

(d) No Right to Use by Non-Subscribers. Meeting Participants who are not Subscribers do not, by virtue of interacting with Fibi in a meeting, acquire any right to access, use, or copy the Service, the Outputs, or any associated content outside the meeting itself.

5. Connected Knowledge Sources

(a) Subscriber-Connected Sources. The Service allows Subscriber to connect third-party knowledge sources, including but not limited to documents uploaded to HeyFibi, Notion workspaces, Google Drive folders, and OneDrive folders (“Connected Sources”). Fibi may retrieve, index, embed, and reference content from Connected Sources in order to generate responses during meetings.

(b) Subscriber Representations. Subscriber represents and warrants that, with respect to each Connected Source:

1. Subscriber has the right and authority to connect that source to HeyFibi

2. Subscriber has the right to allow Fibi to retrieve and process content from that source

3. Subscriber has the right to allow Fibi to surface content from that source to all Meeting Participants in any meeting Fibi attends on Subscriber’s behalf

4. The content of the source does not infringe the intellectual property rights, privacy rights, or other rights of any third party

5. The content of the source does not contain Prohibited Content as defined in Section 8

(c) Access Scope and Read-Only Operation. Fibi accesses Connected Sources on a read-only basis. Fibi does not modify, delete, or write content back to Connected Sources at this time. Fibi may store derived data (including text excerpts, vector embeddings, and metadata) within HeyFibi’s infrastructure to enable retrieval and response generation.

(d) Disconnection and Deletion. Subscriber may disconnect any Connected Source at any time through the Service interface. Upon disconnection, HeyFibi will, within a commercially reasonable timeframe, delete derived data associated with that source from active systems, subject to backup retention periods as described in our Privacy Policy and Data Processing Addendum.

(e) Source Provider Limitations. HeyFibi is not responsible for: (i) the accuracy, completeness, or timeliness of content within Connected Sources; (ii) permission settings or access misconfigurations within the third-party source provider; (iii) outages or service interruptions of third-party source providers; or (iv) changes to source provider APIs that affect HeyFibi’s ability to retrieve content.

(f) Sensitivity Guidance — Not Designed for Highly Sensitive Content. Subscriber acknowledges that the Service is designed for general business meeting use and is not currently designed, certified, or appropriate for processing the following categories of highly sensitive content, and Subscriber agrees not to upload, connect, or surface such content through the Service:

1. Protected Health Information (PHI) subject to HIPAA, unless a Business Associate Agreement is in effect

2. Trade secrets or confidential business information whose disclosure would cause material harm to Subscriber or any third party

3. Information classified under U.S. federal or state government classification programs

4. Personally identifiable financial information (full payment card numbers, bank account numbers, government-issued ID numbers, Social Security numbers)

5. Information protected by attorney-client privilege, attorney work product doctrine, or similar legal privileges, unless Subscriber has obtained informed consent from all privilege holders

6. Information subject to confidentiality obligations under non-disclosure agreements with third parties that prohibit AI processing or disclosure to third-party service providers

7. Biometric identifiers or biometric information as defined under applicable state law (including the Illinois Biometric Information Privacy Act)

8. Information about minors under thirteen (13) years of age

Subscriber is solely responsible for evaluating the sensitivity of any content before uploading or connecting it to the Service. Subscriber acknowledges that the Service uses Third-Party Partner Infrastructure (as listed in our Subprocessor List) and that, while RAITECH has selected Subprocessors with appropriate security practices, the Service is not currently certified for the processing of highly sensitive content listed above. RAITECH is not liable for any harm arising from Subscriber’s upload, connection, or surfacing of content that falls within the categories above.

6. Meeting Recording, AI Disclosure, and Multi-Party Consent

(a) Recording Consent Is Subscriber’s Responsibility. Meeting recording laws vary by jurisdiction. Several U.S. states (including California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington) require the consent of all parties to a recorded conversation. Other states require only one-party consent. Subscriber is solely responsible for understanding and complying with all applicable recording consent laws in the jurisdictions of all Meeting Participants and for obtaining all required consents before inviting Fibi to any meeting.

(b) AI Disclosure. Fibi joins meetings as a visible, named participant and is identified as an artificial intelligence assistant. This visibility is intended to support, but does not by itself satisfy, applicable disclosure requirements under the Texas Responsible AI Governance Act (“TRAIGA”), Federal Trade Commission guidance, or other applicable laws. Subscriber is responsible for ensuring that all Meeting Participants are informed, before the meeting begins or upon Fibi’s joining, that Fibi is an artificial intelligence system.

(c) Recommended Practice. HeyFibi provides an in-meeting introduction feature (where supported by the meeting platform) by which Fibi announces its presence and role on joining a meeting. Subscribers are encouraged to enable and use this feature in addition to their own consent procedures.

(d) Prohibited Meeting Contexts. The Service is not designed for, and Subscriber agrees not to invite Fibi to participate in, the following meeting contexts:

1. Meetings in which protected health information (“PHI”) under the U.S. Health Insurance Portability and Accountability Act (“HIPAA”) will be discussed, unless and until HeyFibi has executed a Business Associate Agreement with Subscriber

2. Attorney-client privileged communications, unless Subscriber has obtained specific informed consent from all parties

3. Meetings subject to U.S. federal securities, financial advisory, or broker-dealer recording or recordkeeping rules (including SEC and FINRA rules), unless Subscriber has obtained specific legal counsel approval and implemented appropriate compliance controls

4. Classified U.S. government communications

5. Any meeting in which applicable law prohibits the use of AI meeting assistants

Subscriber acknowledges that HeyFibi is not currently certified, accredited, or compliant with HIPAA, the Gramm-Leach-Bliley Act, SOC 2, PCI-DSS, GDPR, or other regulatory frameworks beyond those expressly stated in our published materials.

(e) Prohibited Questions and In-Meeting Conduct. In addition to the prohibitions in Section 8, neither Subscriber nor any Meeting Participant may invoke Fibi to:

1. Generate content that violates the prohibitions in Section 8 (including harmful, unlawful, discriminatory, or prohibited AI uses under TRAIGA)

2. Extract, summarize, or surface content that the invoking party does not have rights to access

3. Generate professional advice (legal, medical, financial, or other) on which the invoking party or any Meeting Participant intends to rely without independent professional verification

4. Make binding offers, quotes, contractual commitments, hiring decisions, or other material decisions on behalf of any person or organization

5. Reveal information about other meeting participants without their consent

6. Bypass, circumvent, or attempt to manipulate Fibi’s safety features, content moderation, or operational guardrails, including through prompt injection, jailbreak attempts, or adversarial questioning

7. Discuss content that falls within the Prohibited Meeting Contexts in Section 6(d)

(f) Subscriber Oversight of Meeting Participants. Because any Meeting Participant may invoke Fibi during a meeting, the Subscriber acknowledges that Meeting Participants may ask questions or generate Outputs that the Subscriber did not anticipate. The Subscriber is responsible for:

1. Informing Meeting Participants of acceptable use of Fibi before or upon Fibi’s joining a meeting

2. Monitoring Fibi’s interactions during meetings hosted, attended, or invited by Subscriber

3. Removing Fibi from any meeting in which prohibited content arises

4. Responding to and remediating any prohibited use of Fibi by a Meeting Participant in the Subscriber’s meetings

(g) RAITECH Safety Measures. Fibi includes safety measures designed to decline or limit responses to prohibited or unsafe questions. RAITECH does not, however, guarantee

7. Pricing and Billing

(a) Subscription Fees. HeyFibi is priced on a per-seat basis. Subscription Fees, billing frequency (monthly or annual), seat count, included meeting allowances, meeting duration caps, integration limits, available Fibi Agents, and add-ons are as described on the Pricing Page at heyfibi.com/pricing. By subscribing, you authorize RAITECH to charge your designated payment method for the applicable Subscription Fee at the start of each billing period and for any applicable add-ons. There is no overage billing; see Section 7(e).

(b) Payment Method. Subscriber must provide a valid payment card processed through Stripe. Card data is tokenized and stored by Stripe; RAITECH does not store full payment card numbers. Subscriber represents that they are authorized to use the provided payment method. On accounts with more than one user, the Admin role is responsible for managing the account’s payment method (see Section 3(f)).

(c) Automatic Renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current Subscription Fee unless Subscriber cancels before the end of the current billing period. You authorize RAITECH to charge your payment method the then-current Subscription Fee at the start of each renewal period.

(d) Cancellation. Subscriber may cancel a subscription at any time through the account dashboard. Cancellation becomes effective at the end of the then-current billing period. Subscriber will retain access to paid features through the end of the paid period. No partial-period refunds, credits, or prorated reimbursements will be issued for unused subscription periods, unused meetings, or unused features.

(e) Usage Limits and Access Restriction. There is no overage billing. If Subscriber’s usage reaches the limit included in its subscription tier (for example, meeting allowance, meeting duration, or Fibi Agent usage), RAITECH will restrict further access to the affected feature, or to the Service, until the start of Subscriber’s next billing period or until Subscriber upgrades to a higher tier. Feature and usage limitations for each subscription tier are described on the Pricing Page.

(f) Upgrades and Downgrades. Subscriber may upgrade its subscription plan or seat count at any time through the account dashboard; upgrades take effect immediately, and RAITECH may charge a prorated amount for the remainder of the then-current billing period. Subscriber may downgrade its subscription plan or seat count at any time through the account dashboard; downgrades take effect at the start of the next billing period, and Subscriber will retain its then-current plan’s features and limits through the end of the then-current billing period. No partial refunds or credits are issued in connection with a downgrade.

(g) Trial Conversion. Trial eligibility, card authorization requirements, and conversion to a paid subscription are described in Section 3(d) and on the Pricing Page. If Subscriber cancels a Trial before it ends, no charge will be made to the payment method on file.

(h) Failed Payments. If a payment attempt fails, RAITECH will send Subscriber one or more reminder notices and will freeze (suspend) access to the Service until a successful payment is received. RAITECH does not downgrade a Subscriber’s account to a lower tier or the Free tier as a result of a failed payment. Continued non-payment following a freeze may result in termination of the subscription in accordance with Section 16(b). Late or unpaid amounts may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

(i) Price Changes. RAITECH reserves full rights, in its sole discretion, to change Subscription Fees, tier features, or usage limits at any time by updating the Pricing Page. Price changes apply immediately to new subscriptions. For existing subscriptions, updated pricing will take effect beginning with the next billing cycle following the change; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

(j) Taxes. Subscription Fees exclude applicable taxes. Subscriber is responsible for all applicable taxes (including sales, use, and value-added taxes) associated with the Service.

8. Acceptable Use Policy and TRAIGA Compliance

You agree to use the Service only for legitimate business purposes and in compliance with these Terms, applicable law, and the Texas Responsible AI Governance Act (“TRAIGA”). You will not use the Service:

(a) Prohibited Uses (General). To violate any law or regulation, to engage in fraud or deception, to interfere with the operation of the Service or other users’ use of the Service, to attempt unauthorized access to any system or account, to upload or transmit malicious code, or for any illegal or harmful purpose.

(b) TRAIGA Prohibited Uses. In compliance with TRAIGA, you agree not to use the Service or any AI system accessed through the Service in any manner intended to: (i) incite or encourage physical self-harm, suicide, harm to others, or criminal activity; (ii) infringe upon constitutional rights as the sole intent of AI system deployment; (iii) unlawfully discriminate against protected classes with discriminatory intent; or (iv) create, distribute, or facilitate child sexual abuse material or explicit deepfake content involving minors.

(c) Prohibited Content. You will not create, upload, connect, post, store, or share any content (including content accessible via Connected Sources) that:

1. Is unlawful, defamatory, obscene, pornographic, harassing, threatening, violent, abusive, or fraudulent

2. Constitutes or facilitates a criminal offense

3. Infringes any patent, trademark, copyright, trade secret, or other intellectual property right

4. Contains personal information of any third party without that party’s consent

5. Contains protected health information (PHI) subject to HIPAA, unless a Business Associate Agreement is in effect

6. Contains malicious code, viruses, or other harmful content

7. Violates the rights or privacy of any meeting participant or third party

8. Is intended for prohibited AI uses under TRAIGA

9. Is intended to bypass safety features or content moderation of any AI system

(d) Meeting Conduct. You agree to comply with all applicable laws governing meeting recording and AI participation, including but not limited to multi-party consent laws, the Federal Trade Commission Act, state-level AI disclosure requirements (including TRAIGA), and the meeting platform’s own terms of service (Zoom, Google Meet, Microsoft Teams).

(e) Technical Restrictions. You will not:

1. Reverse engineer, decompile, or attempt to extract source code from the Service

2. Use automated tools (other than as expressly supported by the Service) to access the Service or to exceed published usage limits

3. Resell, sublicense, redistribute, or commercially exploit the Service without RAITECH’s express written authorization

4. Use the Service to develop a competing AI meeting assistant or to train any AI model

5. Attempt to access, modify, retrain, or extract the underlying models, prompts, workflows, or configuration of Fibi

6. Use the Service in any manner that may damage, disable, overburden, or impair the Service

7. Circumvent or attempt to circumvent any technical or operational protections of the Service

(f) TRAIGA Deployer Obligations. As a deployer of AI systems under TRAIGA, you acknowledge responsibility for: (i) ensuring lawful deployment and use of AI systems accessed through the Service; (ii) maintaining appropriate documentation of AI system purposes and use cases; (iii) implementing human oversight procedures for any AI-influenced decisions; (iv) complying with TRAIGA disclosure requirements when AI systems interact with Texas consumers; and (v) cooperating with any TRAIGA enforcement inquiries related to your use of the Service.

(g) Enforcement. RAITECH may, in its sole discretion, suspend, restrict, or terminate Service access for any violation of this Section 8, with or without notice.

9. Data Privacy and Security

(a) Security Measures. RAITECH implements commercially reasonable, industry-standard security safeguards, including encryption of data in transit and at rest, access controls, monitoring, and secure development practices. Detailed security practices are described in our Privacy Policy and Data Processing Addendum.

(b) Customer Data Ownership. Subscriber retains ownership of all Subscriber Data, including meeting audio, transcripts, Fibi Outputs, summaries, action items, Q&A logs, uploaded documents, and content retrieved from Connected Sources. RAITECH processes Subscriber Data solely to provide the Service to Subscriber and to perform the functions described in these Terms and the Privacy Policy.

(c) No Training on Subscriber Data. RAITECH does not use Subscriber meeting audio, transcripts, Fibi Outputs, summaries, action items, or content from Connected Sources to train, retrain, or fine-tune RAITECH’s own artificial intelligence models, and does not use Subscriber Data to provide services to other customers. RAITECH has selected Subprocessors that, under our current subscriptions and configurations, do not use Subscriber Data to train their generative AI models. The specific commitments of each Subprocessor are described in our Subprocessor List and Data Processing Addendum.

(d) Voice Cloning and Biometric Data. Fibi’s voice is generated using a pre-configured artificial intelligence voice synthesis model. HeyFibi does not clone, derive, store, or otherwise create voice prints or persistent biometric identifiers from any Subscriber, Meeting Participant, or other individual. Voice audio captured during meetings is processed solely for the purpose of speech-to-text transcription and wake word detection and is not used to generate, train, or customize any voice synthesis model.

(e) Aggregated and Derived Data. RAITECH may derive aggregated, de-identified usage data, statistics, and analytics from the operation of the Service and may use such data for internal business purposes, including measuring service performance, improving the Service (other than by training generative AI models on Subscriber Data), and reporting.

(f) Data Residency. Subscriber Data is stored in secure data centers located in the United States. RAITECH does not transfer Subscriber Data outside the United States as part of normal operation. Subprocessors may operate from or have personnel located outside the United States; details are described in the Subprocessor List.

(g) Subprocessors. RAITECH uses third-party service providers (“Subprocessors”) to deliver the Service, including for meeting bot infrastructure, speech-to-text transcription, large language model processing, text-to-speech synthesis, document and knowledge source integrations, hosting, email delivery, and payment processing. A current list of Subprocessors, including the purpose of each engagement and the categories of data each processes, is maintained at heyfibi.com/subprocessors and is incorporated into these Terms by reference. RAITECH will provide Subscribers with at least thirty (30) days’ advance notice of any material change to its Subprocessor list, except where a shorter notice period is required for security or legal reasons.

(h) Breach Notification. In the event of a security incident materially affecting Subscriber Data, RAITECH will notify Subscriber without undue delay and provide information necessary to assess the incident and comply with applicable notification requirements, including Texas Business and Commerce Code Section 521.053.

(i) Privacy Policy and DPA. All processing of personal data is governed by our Privacy Policy (heyfibi.com/privacy) and Data Processing Addendum (heyfibi.com/dpa), both of which are incorporated into these Terms by reference.

10. Human Oversight and Output Reliance Disclaimer

(a) Fibi Is Not a Replacement for Human Judgment. Fibi is an artificial intelligence assistant designed to provide informational support during meetings. Fibi is not a replacement for human judgment, professional advice, or human decision-making. Subscribers and Meeting Participants must maintain appropriate human oversight of Fibi’s interactions and intervene where appropriate.

(b) AI Outputs May Be Inaccurate or Hallucinated. Subscriber acknowledges that artificial intelligence systems, including the large language models that power Fibi, may produce inaccurate, incomplete, outdated, biased, or fabricated responses (“Outputs”), including responses that appear plausible and confident but are factually incorrect or invented (a phenomenon commonly known as “hallucination”). Outputs include, without limitation, in-meeting suggestions, meeting outcome summaries, call coaching feedback, and call insights generated by the applicable Fibi Agent, each of which is AI-generated and may be wrong. Output quality may vary based on the quality and completeness of Connected Sources, the clarity of spoken questions, the accuracy of speech-to-text transcription, the performance of underlying AI models, ambiguity in user prompts, and other factors beyond RAITECH’s control. Subscriber and Meeting Participants are solely responsible for verifying the accuracy of any Output before acting on it, and should never rely on an Output for a material decision without independent verification.

(c) Outputs Are Not Binding Commitments. Outputs spoken by Fibi during live meetings are informational only and do not constitute:

1. Binding offers, quotes, or contractual representations by Subscriber or Subscriber’s organization

2. Financial, legal, tax, medical, or other professional advice

3. Statements made by Subscriber or any authorized representative of Subscriber

4. A waiver of any privilege, confidentiality, or other right of Subscriber or any Meeting Participant

Subscriber and Meeting Participants are solely responsible for any decisions, commitments, or representations made by them in reliance on Fibi’s Outputs. Important commitments — including pricing, contractual terms, financial figures, and material business representations — should be independently verified by a human before being relied upon.

(d) No Professional Advice. Fibi is not, and must not be used as, a substitute for licensed professionals, including attorneys, financial advisors, accountants, physicians, or other qualified practitioners. Fibi must not be used to provide legal, medical, financial, or other professional advice. Subscribers and Meeting Participants relying on Fibi for any purpose related to such advice do so at their own risk.

(e) Bias and Fairness. While RAITECH implements measures to mitigate bias in the Service, RAITECH cannot guarantee that Outputs will be free from all biases or appropriate for all use cases. Subscriber should monitor Outputs for potential bias or errors relevant to its specific applications.

11. Intellectual Property and License

(a) HeyFibi Ownership. The Service, including Fibi, all underlying software, models, prompts, workflows, designs, documentation, trademarks, and the look and feel of the Service, is owned by RAITECH or its licensors and is protected by U.S. and international intellectual property laws. Except for the limited license granted below, all rights are reserved.

(b) Limited License to Subscriber. Subject to Subscriber’s compliance with these Terms and payment of applicable fees, RAITECH grants Subscriber a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for Subscriber’s internal business purposes during the subscription term. This license includes the right to invite Fibi to meetings, connect knowledge sources, receive Outputs, and access generated summaries, action items, and Q&A logs.

(c) Subscriber Content License. Subscriber retains all rights to Subscriber Data (as defined in Section 9). Subscriber grants RAITECH a non-exclusive, royalty-free, worldwide license to access, process, store, transmit, and display Subscriber Data solely as necessary to provide the Service to Subscriber, to perform the obligations described in these Terms, and to comply with applicable law. This license terminates upon termination of the subscription, subject to retention periods described in the Privacy Policy.

(d) Outputs. Subscriber may use Outputs generated by Fibi for Subscriber’s internal business purposes. Subscriber acknowledges that, due to the nature of generative AI, Outputs may not be unique and that other Subscribers may receive similar Outputs. Subscriber waives any claim that another Subscriber’s Output is not unique.

(e) Feedback. If Subscriber provides feedback, suggestions, or ideas about the Service (“Feedback”), Subscriber grants RAITECH a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose, including to improve the Service, without acknowledgment or compensation. RAITECH has no obligation to implement any Feedback.

(f) Trademarks. “HeyFibi,” “Fibi,” “RAITECH AI,” and associated logos are trademarks of RAITECH AI LLC. Subscriber may not use these trademarks without RAITECH’s prior written consent, except to truthfully identify Subscriber as a user of the Service.

(g) Restrictions. Subscriber may not copy, modify, distribute, sell, lease, or sublicense the Service. Subscriber may not use the Service to develop a competing product, train an AI model, or extract, scrape, or duplicate the Service’s functionality.

12. Service Availability and Support

(a) Availability Target. RAITECH targets 99% uptime for the Service, excluding scheduled maintenance, force majeure events, and the availability of Third-Party Partner Infrastructure. Planned maintenance will be conducted during off-peak hours when feasible.

(b) Third-Party Dependencies. The Service depends on Third-Party Partner Infrastructure, including meeting bot providers, speech-to-text providers, language model providers, text-to-speech providers, hosting providers, and integration providers (as listed in the Subprocessor List). Service availability is subject to those providers’ uptime and performance, and RAITECH cannot guarantee availability beyond commitments made by its Third-Party Partners.

(c) Support. RAITECH provides support through its help desk and online help center. Support response times and channels are described on the Service. RAITECH does not provide a contractual service-level agreement (SLA) at this stage of the Service. Enterprise-level SLAs may be available under separate written agreement.

(d) Feature Changes. RAITECH may add, modify, or remove features of the Service at any time. Material changes affecting Subscriber’s use of the Service will be communicated with reasonable advance notice when feasible.

13. Warranties and Disclaimers

(a) Limited Warranty. RAITECH warrants that the Service will perform substantially in accordance with its published documentation during the subscription period, provided that Subscriber uses the Service in accordance with these Terms.

(b) Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN SECTION 13(a), THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RAITECH DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

(c) AI Technology Disclaimers. RAITECH SPECIFICALLY DISCLAIMS WARRANTIES REGARDING THE ACCURACY OF AI-GENERATED OUTPUTS, SPEECH RECOGNITION PERFORMANCE, NATURAL LANGUAGE PROCESSING RELIABILITY, AND ANY SPECIFIC BUSINESS OUTCOMES FROM USING FIBI OR THE SERVICE. AI TECHNOLOGIES ARE RAPIDLY EVOLVING AND MAY HAVE LIMITATIONS OR PRODUCE UNEXPECTED RESULTS.

(d) Third-Party Services. The Service integrates with third-party services and platforms (including meeting platforms and Connected Source providers). RAITECH does not warrant the performance, availability, or compatibility of third-party services. Subscriber’s use of third-party services is subject to the respective terms of those services.

(e) Subscriber Warranties. Subscriber represents and warrants that (i) all information, data, content, and materials provided to RAITECH or made accessible via Connected Sources are accurate and do not infringe the rights of any third party; (ii) Subscriber has obtained all necessary consents from Meeting Participants; and (iii) Subscriber’s use of the Service complies with all applicable laws.

14. Limitation of Liability

(a) Excluded Damages. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RAITECH OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF RAITECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) Liability Cap. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RAITECH’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE SUBSCRIPTION FEES PAID BY SUBSCRIBER TO RAITECH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE THOUSAND U.S. DOLLARS ($1,000).

(c) Subscriber Responsibilities. Subscriber acknowledges that Subscriber’s use of the Service involves inherent risks and that Subscriber is responsible for: (i) maintaining appropriate backup procedures for any data Subscriber considers critical; (ii) maintaining alternative business processes for periods of unavailability; (iii) validating AI-generated Outputs before making business decisions; (iv) obtaining all legally required consents for meeting recording and AI participation; (v) complying with applicable telecommunications, privacy, and AI governance laws; and (vi) implementing appropriate human oversight of Fibi’s interactions.

(d) Carve-Outs. Nothing in this Section 14 limits or excludes liability for (i) gross negligence, fraud, or willful misconduct; (ii) infringement of intellectual property rights; or (iii) any matter for which liability cannot be excluded under applicable law.

15. Indemnification

Subscriber will indemnify, defend, and hold harmless RAITECH AI LLC, its affiliates, and their respective officers, directors, employees, and contractors from and against any and all claims, damages, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

1. Subscriber’s misuse of the Service, including violations of meeting recording, privacy, or data protection laws

2. Any claim that data, content, scripts, or Connected Sources provided or connected by Subscriber infringe or misappropriate the intellectual property, privacy, or other rights of any third party

3. Any inaccurate, false, or incomplete information supplied by Subscriber for the configuration or operation of the Service

4. Subscriber’s failure to obtain required consent from Meeting Participants

5. Outputs spoken by Fibi during Subscriber’s meetings that are relied upon by Subscriber or any Meeting Participant, including without limitation any commitments, representations, quotes, or statements

6. Subscriber’s breach of these Terms

7. Any unauthorized modification, cloning, reverse engineering, or redeployment of the Service

8. Prohibited or harmful questions, requests, or invocations of Fibi by Subscriber or any Meeting Participant in Subscriber’s meetings, including any Outputs generated in response to such questions, and any prompt injection, jailbreak, or adversarial attempt to manipulate Fibi’s safety measures

This indemnity will survive termination of these Terms.

16. Termination

(a) Subscriber Termination. Subscriber may terminate a subscription at any time through the account dashboard. Termination becomes effective at the end of the then-current billing period.

(b) Termination by RAITECH. RAITECH may terminate or suspend Subscriber’s access to the Service: (i) for material breach of these Terms, with fifteen (15) days’ written notice and opportunity to cure (where curable); (ii) immediately, for violation of the Acceptable Use Policy or for non-payment; or (iii) upon discontinuation of the Service, with reasonable advance notice.

(c) Effect of Termination. Upon termination, Subscriber’s access to the Service will cease at the end of the applicable billing period (or immediately, in cases of termination for cause). Subscriber will have thirty (30) days following termination to export Subscriber Data through available export tools, after which RAITECH may delete Subscriber Data from active systems, subject to backup retention as described in the Privacy Policy. Subscriber remains responsible for all fees incurred through the date of termination.

(d) Data Portability. Upon written request within the thirty (30) day post-termination window, RAITECH will make available to Subscriber a copy of Subscriber Data (meeting transcripts, summaries, action items, Q&A logs, and source citation records) in a standard format. RAITECH is not obligated to provide access to RAITECH’s proprietary configurations, prompts, workflows, or model parameters.

(e) Survival. Provisions that by their nature should survive termination will remain in effect, including Sections 9 (Data Privacy), 10 (Human Oversight and Output Reliance), 11 (Intellectual Property), 13 (Warranties and Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 17 (Governing Law and Dispute Resolution), and 18 (General Provisions), and any provisions related to payment of outstanding amounts.

17. Governing Law and Dispute Resolution

(a) Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

(b) Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Dallas County, Texas, administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator in the English language. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

(c) Class Action Waiver. YOU AGREE TO BRING CLAIMS INDIVIDUALLY AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

(d) Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened infringement of intellectual property rights or for unauthorized access to the Service. To the extent litigation is necessary outside of arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas.

(e) Time to File Claims. Any claim arising out of or relating to these Terms must be brought within two (2) years after the claim arose, or it is permanently barred.

18. General Provisions

(a) Entire Agreement. These Terms, together with the Privacy Policy, Data Processing Addendum, Acceptable Use Policy, Subprocessor List, Pricing Page, and any applicable order forms or written addenda, constitute the entire agreement between Subscriber and RAITECH regarding the Service and supersede all prior agreements, representations, and understandings.

(b) Modifications. RAITECH may modify these Terms with sixty (60) days’ advance notice for material changes affecting core terms (provided via email or through the Service). For changes required by law or regulation, RAITECH may implement modifications with concurrent notification. Continued use of the Service after the effective date of modifications constitutes acceptance of the modified Terms. If Subscriber does not agree to modified Terms, Subscriber must stop using the Service and may cancel the subscription.

(c) Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified minimally to the extent required to make it enforceable.

(d) Assignment. Subscriber may not assign these Terms without RAITECH’s prior written consent. RAITECH may assign these Terms in connection with a merger, acquisition, financing, or sale of substantially all of its assets, with notice to Subscriber.

(e) Force Majeure. RAITECH will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, war, civil unrest, government action, labor disputes, internet or telecommunications failures, third-party infrastructure outages, cyberattacks, or other force majeure events.

(f) Business Continuity. Subscriber acknowledges that Fibi is hosted on Third-Party Partner Infrastructure and that service interruptions may occur. Subscriber is responsible for maintaining backup communication and information-retrieval channels (e.g., direct document access, alternative communication tools) to ensure continuity of business operations during Service interruptions.

(g) Notices. Legal notices to RAITECH must be sent to legal@heyfibi.com and to [ADDRESS: Carrollton, TX — TO BE FINALIZED]. Notices to Subscriber will be sent to the email address associated with Subscriber’s account. Subscriber is responsible for maintaining current contact information.

(h) Waiver. RAITECH’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or RAITECH’s right to enforce it later.

(i) No Third-Party Beneficiaries. These Terms are intended solely for the benefit of the parties and do not confer third-party beneficiary rights upon any other person or entity. Meeting Participants are not third-party beneficiaries of these Terms.

(j) Export Control. Subscriber is responsible for compliance with U.S. export controls and sanctions laws. Subscriber represents that Subscriber is not located in, a resident of, or a national of any country subject to a U.S. government embargo, and is not on any U.S. government list of restricted end users.

(k) Independent Contractors. RAITECH and Subscriber are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

(l) Interpretation. Section headings are for convenience only and have no legal effect. The word “including” means “including without limitation.”
